- Oshin Web Solution will not be held responsible to the Client or any third party for any damages whatsoever, including but not limited to lost profits, business interruptions, lost savings, or any other incidental, consequential, or special damages resulting from the operation or non-operation of the delivered applications or services.
- Should collection efforts become necessary, the Client agrees to cover any legal fees or third-party costs involved in the collection process, along with a late payment fee calculated at a compound interest rate of 1.5% per month on the overdue balance.
- All relevant taxes shall be applied as per prevailing tax laws and regulations.
- During the project and for twenty-four (24) months after project completion or while services are being rendered, all employees shall remain with their respective employers unless agreed otherwise in writing:
- Oshin Web Solution agrees not to solicit or persuade any employee of the Client to resign from their position or to hire any Client employee without the Client’s prior written approval.
- Similarly, the Client agrees not to solicit or persuade any employee of Oshin Web Solution to leave their employment or hire them without Oshin Web Solution’s prior written approval.
- This Agreement, including any Statements of Work and all associated rights and licenses, may not be transferred, delegated, or subcontracted by either party without the other party’s prior written consent, except as follows:
- Either party may assign this Agreement and any associated rights and duties, along with its entire business and assets, to a third party that acquires substantially all such business and assets.
- Oshin Web Solution reserves the right to assign its obligations under this Agreement to any wholly-owned subsidiary or approved third party, provided Oshin Web Solution remains liable for the actions and omissions of such parties. The Client, however, is not permitted to assign or transfer this Agreement to any direct competitor of Oshin Web Solution.
Other
If any provision of this Terms of Use Agreement is found unlawful, void, or unenforceable, such provision shall be severable without affecting the enforceability of the remaining provisions. Oshin Web Solution reserves the right to delete or modify information and content at any time.
